Terms of Service

Dael.ai provides an AI-powered voice sales agent ("Sam") that makes and receives phone calls, qualifies leads, books meetings, and performs other outbound and inbound sales tasks on your behalf.

The Service is provided as software-as-a-service on a subscription basis. Features vary by plan.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organisation you represent. The Service is intended for business use only.

• You are responsible for maintaining the confidentiality of your login credentials.
• You must promptly notify us of any unauthorised use of your account.
• One account per organisation unless otherwise agreed in writing.

You agree not to use the Service to:

• Make calls to numbers on do-not-call registries without the required consent.
• Violate any applicable telemarketing, privacy, or consumer protection law (including TCPA, GDPR, UK PECR, and equivalent regulations).
• Harass, threaten, or deceive call recipients.
• Transmit spam, malware, or illegal content.
• Reverse-engineer, scrape, or resell the Service.

You are solely responsible for ensuring your use of Sam complies with all applicable laws in your jurisdiction and the jurisdictions of your leads. We reserve the right to suspend accounts found in violation.

• Subscriptions are billed monthly or annually in advance.
• All fees are non-refundable except as required by law or stated in our refund policy.
• We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
• Overdue balances accrue interest at 1.5% per month.

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You retain access to the Service until that date.

We own all rights in the Service, including the Sam AI model, voice, and platform infrastructure. You retain ownership of your data (lead lists, call content, CRM records) uploaded to the Service.

You grant us a limited licence to process your data solely to provide and improve the Service.

Each party agrees to keep the other's confidential information (including pricing, technical details, and business data) strictly confidential and not disclose it to third parties without prior written consent.

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or achieve any particular sales outcome.

Sam is an AI agent. Call outcomes, meeting conversion rates, and revenue results depend on many factors outside our control.

To the maximum extent permitted by law, Naviklabs Inc.'s total liability to you for any claim arising from or related to these Terms shall not exceed the fees you paid us in the 3 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or revenue.

You agree to indemnify and hold harmless Naviklabs Inc. from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration under AAA rules, except that either party may seek injunctive relief in court.

We may update these Terms from time to time. Material changes will be notified at least 14 days in advance by email or in-app notice. Continued use after the effective date constitutes acceptance.
